These Terms of Use (“Terms”) govern your access to and use of NovaLexy’s platform, applications, and services. By creating an account or using NovaLexy in any manner, you agree to these Terms and our Privacy Policy.
By using NovaLexy, you confirm that you are at least 16 years old or the legal age of majority in your jurisdiction. If you are accepting these Terms on behalf of an organization, you represent that you have the authority to bind that entity.
You must create an account to access certain features. You are responsible for maintaining the confidentiality of your login credentials and for all activities under your account. Notify us immediately if you suspect unauthorized use.
You may use NovaLexy solely for lawful purposes and in accordance with these Terms. Prohibited activities include, but are not limited to:
All platform content, trademarks, and code are the exclusive property of NovaLexy or its licensors. You receive a limited, non-exclusive, non-transferable license to use the platform for personal or internal business purposes.
Paid plans renew automatically unless canceled before the renewal date. You authorize us to charge your payment method for these fees.
5.1 Digital Goods & Refund Waiver
By clicking "Upgrade" or "Start Free," you acknowledge that you are gaining immediate access to digital content and AI computing resources. You expressly consent to the immediate performance of the digital service and expressly acknowledge that you thereby lose your statutory right of withdrawal (including under EU/UK consumer protection laws) the moment you start using the service (e.g., generating a translation).
All sales are final. We do not offer refunds for partial months, unused credits, or accidental upgrades. Exceptions may be made in cases of proven technical failure or at the sole discretion of NovaLexy management.
You acknowledge that the Services use Artificial Intelligence, which may produce inaccurate, offensive, or biased output ("Hallucinations").
NovaLexy makes no warranties regarding the accuracy or reliability of any translation. You agree that you are solely responsible for reviewing and verifying all AI-generated content before using it for professional, medical, or legal purposes. NovaLexy is an assistive tool, not a substitute for professional human judgment.
You acknowledge that NovaLexy uses trusted third-party AI infrastructure providers to process your content solely for the purpose of generating responses.
While we implement industry-standard security measures (encryption, access controls), you acknowledge that no data transmission over the Internet is 100% secure. NovaLexy does not guarantee that unauthorized third parties will never be able to defeat our security measures. You acknowledge that you provide your personal information and content at your own risk.
The Services are provided on an “AS IS” and “AS AVAILABLE” basis, without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. NovaLexy does not warrant that the Services will be uninterrupted, secure, or error-free.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL NOVALEXY BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL.
UNDER NO CIRCUMSTANCES WILL NOVALEXY BE RESPONSIBLE FOR ANY DAMAGE, LOSS, OR INJURY RESULTING FROM HACKING, TAMPERING, OR OTHER UNAUTHORIZED ACCESS OR USE OF THE SERVICE.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NOVALEXY’S TOTAL CUMULATIVE LIABILITY TO YOU SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT PAID BY YOU TO NOVALEXY IN THE TWELVE (12) MONTHS PRECEDING THE DATE OF THE CLAIM; OR (B) ONE HUNDRED U.S. DOLLARS ($100.00) OR THE EQUIVALENT AMOUNT IN EUR.
You agree to defend, indemnify, and hold harmless NovaLexy and its officers, directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees) arising from: (i) your use of the Service; (ii) your violation of these Terms; (iii) your violation of any third-party right; or (iv) your reliance on or use of AI-generated output.
NovaLexy reserves the right to modify, suspend, or discontinue any part of the Services at any time, with or without notice. NovaLexy shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Services.
NovaLexy shall not be liable for any delay or failure to perform resulting from causes outside its reasonable control, including, but not limited to, acts of God, war, terrorism, riots, embargos, acts of civil or military authorities, fire, floods, accidents, strikes, or shortages of transportation facilities, fuel, energy, labor, or materials, or failures of third-party service providers (including but not limited to cloud infrastructure, AI inference services, or payment processors).
NovaLexy reserves the right to suspend or terminate your account immediately and without notice if we believe you have violated these Terms, abused the API, or engaged in suspicious activity. In such cases, no refunds will be issued for unused time or credits.
You represent that you are not located in a country subject to international sanctions or embargoes (including EU, US, or UN sanctions lists) and are not listed on any government restricted party list.
We may update these Terms from time to time. Your continued use of the Services after any changes become effective constitutes your acceptance of the revised Terms. We encourage you to review this page periodically.
You may not assign or transfer these Terms, in whole or in part, without NovaLexy’s prior written consent. NovaLexy may assign or transfer these Terms freely in connection with a merger, acquisition, sale of assets, or by operation of law.
If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
These Terms constitute the entire agreement between you and NovaLexy regarding the Services and supersede any prior agreements or understandings.
Failure by NovaLexy to enforce any provision of these Terms shall not constitute a waiver of that provision.
21.1 Informal Resolution
Before initiating any legal action, you agree to first attempt to resolve any dispute, claim, or controversy arising out of or relating to these Terms or the Services by contacting NovaLexy at legal@novalexy.com. NovaLexy will attempt to resolve the dispute in good faith via email communication. If the dispute is not resolved within thirty (30) days, either party may pursue formal legal remedies.
21.2 Governing Law
These Terms shall be governed by and construed in accordance with the laws of Portugal, without regard to its conflict of laws principles.
21.3 Jurisdiction
You agree that any legal action or proceeding arising out of or relating to these Terms or the Services shall be brought exclusively before the competent courts of Lisbon, Portugal, and you hereby irrevocably submit to the personal and exclusive jurisdiction of such courts.
